What Illinois requires

A registered agent is the individual or business entity designated to receive service of process, government correspondence, and official legal documents on behalf of your Illinois company. Every LLC, corporation, and limited partnership formed or registered in Illinois must keep one on file, and the ground rules for the role are written into the Illinois Limited Liability Company Act at 805 ILCS 180/1-35.

The requirements come straight from the statute and from the Secretary of State's own forms. The full text of 805 ILCS 180/1-35 is published by the Illinois General Assembly.

Who can serve: an individual over 18 who resides in Illinois, or a business entity authorized to transact business in Illinois. A company acting as agent must itself be registered with the Secretary of State.

Continuous registered office: a registered office must be continuously maintained in Illinois. A P.O. Box alone is unacceptable.

The identical-office rule: the registered office address must be identical to the business office address of the registered agent. A mail-forwarding arrangement at some other location does not satisfy the statute.

Availability: the agent must be present at the registered office during normal business hours to accept service of process.

What it costs and what's included

Registered agent service in Illinois: $99/year. It renews automatically each year at $99 unless you turn off auto-renewal or cancel in your online account.

State fees are shown separately from our fee. We collect them with your order and pay them to the state at cost when we file.

What isn't included

• A virtual mailbox or mail forwarding. Everyday business mail is charged per piece to view, legal letters beyond the 3 a year are charged per piece, junk mail is discarded and packages are refused.
• Filing your annual report. That is a separate service with its own fee plus the state's fee.
• State filing fees of any kind.
• Forming the company, or any amendment or reinstatement filing.

Regarding paperwork and privacy: we accept legal service and state notices on your behalf, and you are welcome to list our Illinois address on filings to keep your home address off the record. We do not run a general mailroom, though. Legal documents are scanned same-day for free, any other item you want scanned is $15 apiece, and real postage applies only if you need the physical original mailed.

How it works

Once you complete the enrollment process, you'll receive confirmation of your registered agent service along with our physical Illinois address to use for your business filings.

New Business Formation: Include our information as your registered agent when filing your formation documents with the Illinois Secretary of State.

Changing from Another Agent: Illinois charges a $25 filing fee for the Statement of Change of Registered Agent (Form LLC-1.36/1.37). That fee goes to the state and is separate from our annual service fee. We complete and submit the change form for you, and we add nothing on top of the $25.

The change typically becomes effective within several business days after the Illinois Secretary of State processes your filing. We'll begin receiving documents on your behalf once the update is complete.

Switching to us from another agent

Change of registered agent to us: $0 our fee + $25 Illinois filing fee = $25. The registered agent service itself is $99/year.

1. Choose a new registered agent who meets Illinois requirements. That means an individual who resides in Illinois or a business entity registered with the Secretary of State, with a physical registered office in the state. Illinois requires the registered office address to be identical to the agent's business office address.
2. Complete Form LLC-1.36/1.37. You'll enter the company name, the current agent and registered office, and the new agent and office information.
3. Submit the form with the $25 fee. File the statement with the Illinois Secretary of State, Department of Business Services, Limited Liability Division.
4. Confirm the change in state records. After processing, verify that the Secretary of State's business records show the new agent. This typically happens within several business days of filing.

Renewals, cancellation and refunds

Registered agent service renews automatically for another year on each renewal date, unless you turn off auto-renewal or cancel in your online account, or give written notice at least 30 days before the renewal date. Renewal reminders go out about 60 days ahead.

You can cancel at any time from your online account or by contacting support. Cancelling does not by itself remove us as registered agent on the state record; a change of registered agent or resignation filing does that.

Anything already filed with the government is not refundable. Registered agent fees are not refundable once we or our partner have been appointed with the state. State fees are not refundable once paid to the state.
